The establishment of Audit Committees
A company must, based on its size and complexity, ensure clear rules of procedures for the Audit Committee. The mandate of the Audit Committee should therefore be determined in a “Terms of reference of the Audit Committee” (Charter) set out by the Board of Directors. The Audit Committee should have access to all necessary information, including information from the company's employees. In addition, the necessary resources should be made available to the Audit Committee in order that the Audit Committee can obtain independent advice on issues falling within the competence of the Audit Committee.

The Audit Committee must perform its tasks stipulated by its Charter; and it should be ensured that the Audit Committee regularly informs the Board of Directors of its work and results.

The Audit Committee shall consist of members of the company's Board of Directors, its supervisory board or persons elected by the General Assembly or an equivalent body as members of the Audit Committee. At least one member of the audit committee shall have competence in accounting and/or auditing. In addition, it is required that, as a whole, the Audit Committee members shall have competences relevant to the sector in which the audited entity is operating.
